Article I — Purpose
IdeaMandu (the "Platform") is a private connection and matching platform operated under the illuuminati ecosystem. It exists to help founders, business owners, investors, and acquirers discover one another, evaluate opportunities, and execute capital transactions in a transparent, document-based manner.
Article II — Eligibility
To register and list, you must (a) be of legal age in your jurisdiction, (b) provide truthful identifying information, and (c) where applicable, provide evidence of corporate registration. The Platform is not currently a regulated securities exchange. We do not custody securities, we do not solicit retail public investment, and any closed transactions are conducted directly between counterparties through their own counsel and escrow agents.
Article III — Listings & Briefs
Any brief, listing, or material you submit must be truthful, your own to share, and consistent with applicable law. You retain ownership of your content. By submitting, you grant the Platform a non-exclusive license to display the brief to verified members for the purpose of matchmaking. We may refuse, delist, or remove submissions at our discretion, particularly where they appear fraudulent, misleading, or unlawful.
Article IV — Confidentiality
Sensitive financials, cap tables, customer information, and identity documents shared in data rooms are NDA-gated. Members agree not to redistribute confidential material outside the Platform. Audit logs of access are retained.
Article V — Fees
Listing is free. Closed deals are subject to a success fee of 2–5% depending on instrument and ticket size, payable on close. Investors pay nothing to source. Optional services (advisory, data room, e-signature) are billed separately.
Article VI — No Advice
Nothing on the Platform constitutes legal, tax, accounting, or investment advice. Calculators, valuation tools, and matching suggestions are estimates only. You agree to obtain independent counsel before executing any transaction.
Article VII — Anti-Fraud & KYC
All members must complete KYC before initiating deal action. We reserve the right to suspend any account that fails verification, attempts to deceive counterparties, or violates anti-money-laundering norms in any applicable jurisdiction.
Article VIII — Limitation of Liability
The Platform is provided "as-is." We do not guarantee deal outcomes, valuations, or counterparty performance. To the maximum extent permitted by law, our liability is limited to fees paid by you to us in the prior twelve months.
Article IX — Governing Law
These Terms are governed by the laws of Nepal, with exclusive jurisdiction of the courts in Kathmandu, save where international counterparties agree otherwise in writing in their deal documents.
Article X — Charter Spirit
